The procedure for the operation suspension of branches, representative offices, business locations

1. What is suspension? 

Suspension means that an enterprise will suspend its business operations for a certain period due to various reasons such as difficulties in business operations and inability to continue business operations or need time to rearrange work.

2. Application for the suspension of operations for branches, representative offices, and business locations includes: 

• Notice of suspension of operations for branches, representative offices, and business locations according to the form of Circular No. 01/2021/TT-BKHDT 

• Notes of the meeting or decision of the owner if it is a limited company. 

• Decision to suspend business.

• Letter of attorney for the representative to submit the application 

• A valid copy of one of the personal identification papers: Citizen identity card, ID card of the representative submitting the application.

3. The procedure for the operation suspension of branches, representative offices, and business locations:

Step 1: Submit your application online at the National Business Registration Portal 

• The enterprise sends a notice to the Business Registration Office where it has registered its branch/representative office/business location at least 03 days before the suspension. 

• The Business Registration Office delivers the application receipt to the enterprise after receiving the notice of business suspension of the enterprise.

Step 2: Receive the result 

Within 03 working days from the day on which the valid application is received, the Business Registration Office shall issue a Certificate of the registration for operation suspension.

• Law on Enterprises 2020 dated June 17, 2020, of the National Assembly.

• Decree 01/2021/ND-CP dated January 4, 2021, of the Government on business registration. 

• Circular 01/2021/TT-BKHDT dated March 16, 2021, of the Ministry of Planning and Investment guiding on business registration.
